1. About these terms

These Terms and Conditions (“Terms”) form an agreement between you and PRODEV Info Solutions (“PRODEV”, “we”, “us”). By using prodevinfo.com or engaging our services, you agree to them. If you act for an organisation, you confirm that you have authority to bind it.

2. Using our website

You may use this website for lawful purposes. You must not:

• attempt to gain unauthorised access to the website, its servers or its data
• interfere with its operation, including through malware, overloading or automated abuse
• submit false, misleading or unlawful information through our forms
• copy or reuse our content in breach of section 7

Website content is general information about our company and services. It is not professional advice or a binding offer, and we may change or withdraw it at any time.

3. Our services

We provide technology services that include software, website and mobile development, UI/UX design, AI solutions, Generative Agent as a Service (GaaS), Agent-as-a-Service (AaaS), data science, cyber security, digital marketing, dedicated engineering teams and technical support.

The scope, deliverables, timeline, fees and any service levels for a project are set out in a written proposal, statement of work or agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement prevails. Estimates are good-faith estimates unless the Agreement states otherwise. Changes to scope are agreed in writing and may affect fees and timelines.

4. Your responsibilities

To allow us to deliver the services, you agree to:

• provide accurate information, timely decisions and the access we reasonably need
• make sure you have the rights and permissions for any content, data, software or accounts you give us
• comply with the laws that apply to your business and your use of the deliverables, including data protection law
• keep the credentials for your accounts and systems secure

Delays caused by missing information, access or approvals may extend timelines and may incur additional cost.

5. Fees and payment

Fees, milestones and payment schedules are set out in the Agreement. Unless it says otherwise:

• invoices are payable within 15 days of the invoice date
• fees exclude GST and other applicable taxes, which are added as required by law
• third-party costs, such as hosting, licences, advertising budgets and AI model usage, are billed separately or paid directly by you
• we may pause work while an undisputed invoice remains overdue, after giving you written notice

Advance payments and fees for work already performed are non-refundable, except where the Agreement or the law provides otherwise.

6. AI services and AI output

These additional terms apply to services that use artificial intelligence, including AI Solutions, GaaS and AaaS:

• Output can be wrong. AI output is generated by probabilistic models and can be inaccurate, incomplete or unsuitable. You are responsible for reviewing it before relying on it, particularly for legal, financial, medical, safety or employment matters.
• Human oversight. You decide what an agent may do, within the limits agreed with us. You must keep appropriate human review for decisions that significantly affect people, and must not use agents for decisions the law reserves for a qualified person.
• Actions taken by agents. An agent's actions within the permissions and limits you approved are treated as actions taken on your behalf. You should approve only permissions you are comfortable with.
• Third-party models. AI services may rely on third-party model and infrastructure providers, whose terms, availability and pricing may change. The Agreement or our documentation identifies the providers used.
• Your data. You keep your rights in the data you provide. We use it to deliver and support your service and do not use it to train models for other clients' benefit unless you agree in writing.
• Prohibited uses. You must not use our AI services for unlawful, deceptive or harmful purposes, or to infringe the rights of others.
• Results. Any productivity or cost benefit depends on your data and processes, and we do not guarantee a specific outcome unless the Agreement expressly says so.

7. Intellectual property

Our website. The content, design, text, graphics and logos on this website belong to PRODEV or its licensors. You may view and share pages for ordinary, non-commercial purposes, but may not otherwise copy or reuse them without our written permission.

Your materials. You keep ownership of the content and data you provide, and you give us the licence we need to use them to deliver the services.

Deliverables. Unless the Agreement says otherwise, ownership of custom deliverables created specifically for you passes to you once we have received full payment for them.

Our tools and know-how. We keep ownership of our pre-existing materials, frameworks, methods and general know-how. Where these are included in a deliverable, you receive a non-exclusive licence to use them as part of it.

Third-party and open-source components. These remain subject to their own licence terms.

8. Confidentiality

Each party will keep the other's non-public business, technical and financial information confidential, use it only for the purposes of the engagement, and share it only with people who need it and are bound by similar obligations. This does not apply to information that is public, independently developed or lawfully obtained from someone else, or that the law requires to be disclosed. These obligations continue for three years after the engagement ends, or for as long as the information remains a trade secret. A separate non-disclosure agreement prevails where one exists.

9. Privacy and data protection

Our Privacy Policy explains how we handle personal data as a website operator and business. Where we process personal data for you as part of a project, you remain responsible for having a lawful basis and giving any notices required, and we will process that data according to your documented instructions and the Agreement.

10. Third-party services and links

Our website and deliverables may link to or rely on services we do not control, such as hosting providers, payment gateways, app stores, analytics tools and AI platforms. We are not responsible for their content, availability or terms. Testimonials, case studies and examples on this website describe particular situations and do not promise that you will get the same result.

11. Warranties and disclaimers

We will perform services with reasonable skill and care. If a deliverable materially fails to meet its agreed specification, please tell us within the period stated in the Agreement (or within 30 days of delivery if none is stated), and we will correct it at no additional charge. This does not apply to problems caused by changes made by others, misuse or third-party systems.

Other than as stated in these Terms or an Agreement, and to the extent the law allows, the website and services are provided “as is”, without other warranties. We do not guarantee uninterrupted operation, error-free software, particular search rankings, marketing results or complete protection against security threats.

12. Limitation of liability

To the extent the law allows:

• neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data
• our total liability arising from an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim arose
• our total liability arising from use of this website alone, where no fees are involved, is limited to ₹10,000

Nothing in these Terms limits liability for fraud, for wilful misconduct, or for anything else that cannot be limited under applicable law, including your rights under the Consumer Protection Act, 2019 if it applies to you.

13. Indemnity

You agree to compensate us for reasonable losses and costs arising from third-party claims caused by the materials you gave us, your unlawful use of the services or deliverables, or your breach of these Terms. We will tell you promptly about any such claim and cooperate reasonably in handling it.

14. Suspension and termination

Either party may end an engagement as set out in the Agreement. If it does not address termination, either party may end the engagement on 30 days' written notice, or immediately if the other commits a material breach and does not fix it within 15 days of being told. You will pay for work performed and costs incurred up to the end date. Clauses that by their nature should continue, including those on payment, intellectual property, confidentiality and liability, survive termination.

We may suspend access to this website, or to a service, if necessary for security or legal reasons, or in response to a serious breach of these Terms.

15. Events outside our control

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet outages, third-party platform failures, cyber attacks that could not reasonably have been prevented, or government action. This does not excuse an obligation to pay for work already done.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion within 30 days of written notice. If that does not succeed, and subject to any arbitration clause in an Agreement, the courts at Palakkad, Kerala have exclusive jurisdiction.

17. General

You may not transfer your rights under these Terms without our written consent. If a clause is found to be unenforceable, the rest continue to apply. A delay in enforcing a right does not waive it. Together with any Agreement, these Terms are the entire agreement on their subject. Notices should be sent in writing to the contact details below.

18. Changes to these Terms

We may update these Terms from time to time, and the current version will always be on this page with its “Last updated” date. Changes apply to your use of the website from the date they are published. They do not change the terms of a signed Agreement unless you agree in writing.
